These Terms of Service ("Terms") govern your access to and use of the website, software, products, applications, browser extensions, integrations, AI features, analytics, and related services provided by Commenter AI LTD ("Commenter.ai", "Company", "we", "our", or "us").

By creating an account, accessing the Service, connecting your LinkedIn account, connecting any other supported account, enabling tracking, or otherwise using Commenter.ai, you agree to these Terms and to our Privacy Policy.

Our Privacy Policy explains how we collect, use, store, protect, share, and otherwise process information related to your use of the Service. You should read it here: https://commenter.ai/privacy-policy

If you do not agree to these Terms or our Privacy Policy, you must not access or use the Service.

1. Definitions

For these Terms:

"Service" means the Commenter.ai website, platform, software, applications, browser extensions, integrations, AI features, analytics, account features, and any related products or services we provide.

"User", "you", or "your" means any person or entity that accesses or uses the Service.

"Account" means your registered Commenter.ai account.

"Connected Account" means any third-party account, including LinkedIn, email, or another supported service, that you connect to Commenter.ai or authorize Commenter.ai to process.

"Connected Account Data" means data collected, processed, stored, displayed, analyzed, or generated from a Connected Account.

"Content" means information, text, comments, drafts, posts, messages, conversations, profile data, notes, labels, templates, uploads, settings, prompts, AI inputs, AI outputs, or other material submitted, created, imported, connected, displayed, processed, analyzed, or generated through the Service.

"Subscription" means a paid plan or recurring paid access to the Service.

"Service Provider" means a third-party company, vendor, contractor, or processor that helps us provide, operate, secure, support, maintain, analyze, or improve the Service.

2. Eligibility

The Service is intended only for individuals who are at least eighteen (18) years old.

By using the Service, you confirm that you are at least 18 years old and legally able to enter into these Terms.

If you use the Service on behalf of a company or organization, you confirm that you have authority to accept these Terms on behalf of that company or organization.

3. Your Agreement With Us

Your agreement with us includes these Terms and our Privacy Policy.

By creating an Account, connecting LinkedIn, connecting email, connecting any other supported account, enabling tracking, or using the Service, you acknowledge that:

1. you have read and understood these Terms
2. you agree to be bound by these Terms
3. you agree to our Privacy Policy
4. you authorize us to process the data needed to provide the Service
5. you understand that some features require tracking, processing, and analyzing your LinkedIn activity and other Connected Account Data
6. you understand that if you disable tracking or disconnect a Connected Account, some features may stop working or become limited

We may also present additional notices, consent language, or permissions when you connect a third-party account, enable tracking, or use certain features. Those notices are part of your agreement with us.

4. What Commenter.ai Does

Commenter.ai helps users manage, organize, understand, prioritize, and improve their LinkedIn-related activity.

The Service may include features related to LinkedIn messaging, conversations, comments, posts, replies, engagement, profile activity, prioritization, content assistance, analytics, workflow management, and other related features.

To work properly, some features require us to collect, process, analyze, store, display, and transmit activity from accounts you choose to connect.

5. Connected Accounts and Activity Tracking

Commenter.ai is designed to help users improve their LinkedIn workflow and related professional activity. To provide the Service, we may collect, process, store, analyze, transmit, and display activity from the accounts and channels you choose to connect.

This may include LinkedIn activity and related data, such as:

1. private messages and conversations
2. conversation metadata
3. comments, replies, posts, and other content activity
4. profile, contact, and connection-related information
5. timestamps, activity status, interaction history, and engagement history
6. labels, notes, settings, preferences, and actions you create inside the Service
7. prompts, AI inputs, AI outputs, summaries, classifications, suggestions, reason codes, and generated outputs
8. other activity data needed to display, organize, prioritize, personalize, secure, debug, support, maintain, or improve your LinkedIn workflow

We process this information so the Service can function properly, including to:

1. show relevant conversations
2. help you manage LinkedIn activity
3. help prioritize conversations or activity
4. personalize your experience
5. generate comments, replies, summaries, classifications, labels, or suggestions where applicable
6. improve product reliability
7. provide analytics and reporting
8. provide customer support
9. debug technical issues
10. protect the Service from abuse, fraud, unauthorized access, or security issues
11. comply with legal obligations
12. enforce these Terms

By connecting your LinkedIn account or any other supported account to the Service, you authorize Commenter AI LTD to access, collect, process, store, analyze, transmit, and display the Connected Account Data necessary to provide the Service.

You may disconnect your Connected Accounts or disable available tracking settings inside your Account settings. Some features may stop working, become limited, or lose historical context if tracking is disabled or an account is disconnected.

6. LinkedIn Connection Consent

When you connect LinkedIn to Commenter.ai, you authorize us to access, process, store, analyze, transmit, and display your LinkedIn-related activity, including messages, conversations, comments, posts, replies, timestamps, metadata, profile or contact information, and related activity data, so the Service can provide features such as conversation organization, prioritization, AI assistance, analytics, support, debugging, security, product maintenance, and product improvement.

You can disconnect LinkedIn or manage available tracking settings in your Account settings.

Commenter.ai is not owned by, endorsed by, sponsored by, supported by, or affiliated with LinkedIn unless expressly stated. LinkedIn is a trademark of LinkedIn Corporation or its affiliates. Your use of LinkedIn remains subject to LinkedIn's own terms, policies, and restrictions.

7. Optional Email and Additional Account Tracking

Some users may choose to provide an email address or connect additional supported accounts so the Service can track, organize, or display additional activity relevant to their workflow.

If you provide an email address or connect an additional account for tracking, you authorize Commenter AI LTD to collect, process, store, analyze, transmit, and display the relevant activity data from that account or email address for the purpose of providing the Service.

You can manage or disable supported tracking settings inside your Account settings. Disabling tracking may limit or prevent certain features from working properly.

8. Managing Tracking Settings

You may manage available tracking settings inside your Account settings.

Depending on the features enabled in your Account, you may be able to:

1. disconnect LinkedIn
2. disconnect email
3. disable supported tracking settings
4. remove connected accounts
5. request deletion of eligible Account data

If you disable tracking or disconnect an account, the Service may no longer be able to provide certain features, including conversation prioritization, activity history, comment assistance, analytics, support, debugging, or other connected account features.

Disabling tracking does not affect processing that occurred before tracking was disabled. You may contact us at support@commenter.ai to request deletion of eligible Account data, subject to legal, billing, security, abuse-prevention, backup, dispute-resolution, and operational retention requirements.

9. Security and Confidentiality of Connected Account Data

We take the confidentiality of your Connected Account Data seriously.

Private messages and Connected Account Data are encrypted before storage using technical security measures such as AES-256-GCM. However, some message content may be decrypted and processed when required for the Service to function, including for AI-powered features, prioritization, support, debugging, security, system maintenance, product improvement, legal compliance, and abuse prevention.

Private message content is not exposed through standard admin dashboards during normal use. However, limited access may be possible by authorized technical personnel, Service Providers, or third-party processors where necessary to operate, secure, debug, support, maintain, or improve the Service, comply with legal obligations, investigate abuse, prevent fraud, or provide AI-powered functionality.

The Service may send message content, conversation content, prompts, AI inputs, AI outputs, metadata, and related Connected Account Data to third-party processors where necessary to provide, operate, secure, debug, support, maintain, or improve the Service. This may include AI providers, infrastructure providers, database providers, analytics providers, logging providers, monitoring providers, error-tracking providers, customer support providers, payment processors, email providers, and other Service Providers.

We do not sell your private messages.

We do not sell your private LinkedIn conversations.

We do not make your private LinkedIn messages or private Connected Account Data available to other users.

We apply safeguards designed to limit unnecessary exposure of private message content. During normal operation, we aim to avoid unnecessary access to private message content and to restrict access to authorized personnel and Service Providers who need access for legitimate operational purposes.

You are responsible for ensuring that you have the right to connect any account and allow the Service to process the related activity data.

10. AI Processing and Third-Party AI Providers

The Service may use artificial intelligence systems and third-party AI providers, including OpenAI or similar providers, to process Content and Connected Account Data.

This processing may include LinkedIn messages, conversation history, posts, comments, replies, prompts, profile information, metadata, labels, user actions, settings, and other data needed to provide AI-powered features.

AI-powered features may include comment generation, reply suggestions, summaries, prioritization, classification, labeling, recommendations, workflow assistance, analytics, and other product functionality.

By using AI-powered features or connecting accounts that enable AI-powered features, you authorize us to process the relevant Content and Connected Account Data through AI systems and third-party AI providers as needed to provide, operate, secure, support, maintain, debug, or improve the Service.

You are responsible for reviewing and approving any AI-generated output before using, publishing, sending, or relying on it.

AI-generated outputs may be inaccurate, incomplete, offensive, inappropriate, misleading, or unsuitable for your specific use case.

Commenter AI LTD is not responsible for decisions you make based on AI-generated output or for content you publish, send, or use through the Service.

11. Privacy Policy

Our Privacy Policy explains how we collect, use, store, protect, share, and otherwise process information.

By using the Service, you agree that we may collect and use information as described in these Terms and our Privacy Policy.

If there is a conflict between these Terms and the Privacy Policy regarding privacy, data collection, or data processing, the Privacy Policy will control unless these Terms impose a more specific obligation related to the Service.

12. Communications

By creating an Account, you may receive service-related communications from us, including Account notices, billing notices, security notices, product updates, legal notices, and support messages.

You may also receive newsletters, marketing, or promotional materials from us where permitted by law. You may opt out of marketing communications by following the unsubscribe link or by emailing support@commenter.ai.

You may not opt out of important service-related or legal communications while you continue to use the Service.

13. Accounts

When creating an Account, you agree to provide accurate, complete, and current information.

You are responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account.

You must notify us immediately if you become aware of unauthorized access to or use of your Account.

We may refuse service, suspend accounts, terminate accounts, remove content, restrict access, or cancel orders at our discretion, including where we believe there has been a violation of these Terms, misuse of the Service, unlawful activity, fraud, abuse, payment failure, or security risk.

14. Purchases

If you purchase any product or service made available through the Service, you may be asked to provide information relevant to your purchase, including payment information, billing information, and contact information.

You represent and warrant that:

1. you have the legal right to use any payment method you provide
2. the information you provide is true, correct, current, and complete

We may use third-party payment processors to facilitate payments and complete purchases. By submitting payment information, you authorize us to provide the necessary information to those third parties, subject to our Privacy Policy.

We may refuse or cancel your order at any time for reasons including product or service availability, errors in product or service descriptions, pricing errors, payment issues, suspected fraud, suspected unauthorized transactions, abuse of the Service, or violation of these Terms.

We may refuse or cancel your order if we believe you have attempted to abuse our system. Abuse includes, but is not limited to, starting multiple free trials, attempting to obtain several or unreasonable discounts, avoiding payment, or otherwise misusing the Service.

15. Subscriptions

Some parts of the Service are billed on a subscription basis.

Subscriptions are billed in advance on a recurring basis. Billing cycles may be monthly, annual, or otherwise stated at the time of purchase.

At the end of each billing cycle, your Subscription will automatically renew under the same conditions unless you cancel it or Commenter AI LTD cancels it.

You may cancel your Subscription renewal through your Account settings or by contacting support@commenter.ai.

A valid payment method is required to process Subscription payments. By submitting payment information, you authorize Commenter AI LTD and its payment processors to charge all Subscription fees incurred through your Account to the payment method you provide.

If automatic billing fails, we may issue an electronic invoice or suspend, restrict, or terminate access to paid features until payment is completed.

If you are eligible for a discount, you may not use more than one discount per Subscription unless we expressly agree otherwise.

16. Subscription Cancellations

You may cancel your Subscription renewal through your Account settings or by contacting us.

Upon cancellation, you will not receive a refund for fees already paid for the current Subscription period, unless required by law or expressly stated by us in writing.

You will retain access to paid features until the end of your current Subscription period, unless your Account is terminated or suspended for violation of these Terms.

After cancellation, unused credits, usage limits, stored data, drafts, comments, lists, analytics, connected account history, or other Account features may be lost, removed, restricted, or deleted according to our product settings, retention practices, and Privacy Policy.

17. Free Trials

Commenter AI LTD may offer a free trial at its sole discretion.

You may be required to enter billing information to sign up for a free trial.

If billing information is required, you will not be charged until the free trial expires. On the last day of the free trial, unless you cancel your Subscription before the trial ends, you may be automatically charged the applicable Subscription fee for the plan you selected.

We may modify, limit, withdraw, or cancel a free trial offer at any time.

We may refuse or cancel a free trial if we believe a user is attempting to abuse the trial system.

18. Fee Changes

Commenter AI LTD may modify Subscription fees at any time.

Any Subscription fee change will become effective at the end of the then-current billing cycle unless otherwise stated.

We will provide reasonable prior notice of material Subscription fee changes so you have an opportunity to cancel your Subscription before the change becomes effective.

Your continued use of the Service after a fee change becomes effective constitutes your agreement to pay the modified fee amount.

19. Refunds

Unless otherwise stated by us in writing or required by law, payments are non-refundable.

If we offer a refund policy for a specific product, Subscription, or service, that refund policy will apply to that purchase.

20. Content

The Service may allow you to submit, create, import, connect, store, display, process, analyze, or generate Content.

You are responsible for Content that you submit, create, import, connect, store, display, process, analyze, or generate through the Service, including its legality, reliability, and appropriateness.

You represent and warrant that:

1. you own the Content or have the necessary rights and permissions to use it with the Service
2. your use of the Content with the Service does not violate any privacy rights, publicity rights, intellectual property rights, contract rights, platform terms, confidentiality obligations, employment obligations, or other rights of any person or entity
3. your use of the Content with the Service does not violate applicable law

You retain your rights to any Content you submit, create, import, connect, display, or process through the Service.

You grant Commenter AI LTD a limited, non-exclusive, worldwide license to access, process, store, reproduce, modify, analyze, display, transmit, and create derivative technical outputs from your Content only as necessary to provide, secure, maintain, support, improve, and operate the Service, comply with legal obligations, and enforce these Terms.

This license does not give us the right to sell your private messages or make your private Connected Account Data available to other users.

We may review, restrict, remove, or disable access to Content where necessary to operate the Service, provide support, investigate abuse, protect the Service, comply with legal obligations, or enforce these Terms.

We do not routinely review private Connected Account messages for general monitoring purposes.

21. Product Analytics, Logs, Monitoring, and Error Tracking

We may collect and process product analytics, logs, monitoring data, error reports, and usage data to operate, secure, debug, support, maintain, and improve the Service.

This may include actions taken inside Commenter.ai, feature usage, connected account status, timestamps, technical events, error events, system performance, usage patterns, device or browser information, request metadata, user IDs, conversation IDs, message IDs, AI request status, model usage, token counts, error codes, latency data, prioritization state, reason codes, and workflow state changes.

Some logs, monitoring tools, or error-tracking tools may process Content or Connected Account Data where necessary to diagnose errors, investigate issues, maintain security, prevent abuse, provide support, or improve the Service.

We may use third-party Service Providers for analytics, logging, monitoring, and error tracking.

We apply safeguards designed to limit unnecessary exposure of private message content, but you understand that limited processing of message content or related data may occur where necessary for debugging, monitoring, security, support, maintenance, product improvement, or error investigation.

Private Connected Account messages are not sold to analytics, logging, monitoring, or error-tracking providers.

22. Third-Party Service Providers

We may use third-party Service Providers to help provide, operate, secure, analyze, support, maintain, and improve the Service.

These providers may include hosting providers, infrastructure providers, database providers, payment processors, AI providers, analytics providers, customer support providers, email providers, logging providers, monitoring providers, error-tracking providers, security providers, and other technical providers.

These third-party providers may process Account data, Content, Connected Account Data, technical data, usage data, payment data, or other information where necessary to provide their services to us.

We do not authorize third-party Service Providers to use your private messages for their own independent purposes, except as permitted by their agreements with us, their service terms, or applicable law.

23. Third-Party Platforms

The Service may connect with or process data from third-party platforms, including LinkedIn, where enabled by the user.

Commenter.ai is not owned by, endorsed by, sponsored by, supported by, or affiliated with LinkedIn unless expressly stated. LinkedIn is a trademark of LinkedIn Corporation or its affiliates. Your use of LinkedIn remains subject to LinkedIn's own terms, policies, and restrictions.

You are responsible for complying with the terms and policies of LinkedIn and any other third-party platform you use with the Service.

We are not responsible for changes, interruptions, restrictions, limitations, access issues, API changes, platform changes, account restrictions, or policy changes imposed by third-party platforms that may affect the Service.

24. Prohibited Uses

You may use the Service only for lawful purposes and in accordance with these Terms.

You agree not to use the Service:

1. in any way that violates applicable law or regulation
2. to exploit, harm, or attempt to exploit or harm minors
3. to send spam, unsolicited advertising, mass commercial messages, or unlawful communications
4. to impersonate another person or entity
5. to engage in fraudulent, deceptive, abusive, harmful, or unlawful activity
6. to infringe or violate the rights of another person or entity
7. to violate LinkedIn's Terms of Service or the terms of any other third-party platform
8. to connect any account, import any data, or enable tracking unless you have the legal right and authority to do so
9. to unlawfully monitor, scrape, collect, or process data from LinkedIn or any other third-party platform
10. to introduce viruses, malware, harmful code, or other malicious software
11. to interfere with, disrupt, overload, or damage the Service
12. to attempt unauthorized access to the Service, user accounts, systems, servers, databases, or networks
13. to perform denial-of-service attacks or similar attacks
14. to reverse engineer, copy, resell, or exploit the Service except as expressly permitted by us
15. to take any action that may damage the Company's reputation, ratings, systems, security, or proper operation

You are responsible for complying with LinkedIn's terms, applicable laws, and any obligations you have to other people whose information may appear in your Connected Account Data.

25. Spam Policy

You are strictly prohibited from using the Service for illegal spam activities, including gathering email addresses or personal information from others without permission, sending unlawful mass commercial emails, or using the Service to support spam campaigns.

We may suspend or terminate Accounts that violate this Spam Policy.

26. Intellectual Property

The Service and its original content, features, functionality, software, design, branding, trademarks, trade dress, workflows, and technology are owned by Commenter AI LTD and its licensors.

The Service is protected by copyright, trademark, and other laws.

Our trademarks, logos, branding, and trade dress may not be used without our prior written consent.

These Terms do not grant you ownership of the Service or any intellectual property rights in the Service.

27. Feedback

You may provide suggestions, ideas, requests, complaints, comments, or other feedback about the Service.

By providing feedback, you agree that we may use it without restriction or compensation to you.

Feedback does not grant you ownership rights or intellectual property rights in the Service.

28. Links to Other Websites

The Service may contain links to third-party websites or services that are not owned or controlled by Commenter AI LTD.

We are not responsible for the content, terms, privacy policies, practices, or availability of third-party websites or services.

You should review the terms and privacy policies of any third-party website or service you visit.

29. Service Availability and Interruptions

We may update, modify, suspend, interrupt, or discontinue the Service at any time.

The Service may be unavailable due to maintenance, updates, technical issues, security issues, third-party platform issues, internet failures, hosting failures, or events outside our control.

We are not liable for damages, losses, or inconvenience caused by downtime, interruptions, errors, delays, or unavailability of the Service.

30. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis.

To the fullest extent permitted by law, Commenter AI LTD makes no warranties, representations, or guarantees regarding the Service, including warranties of availability, reliability, accuracy, security, fitness for a particular purpose, non-infringement, or uninterrupted operation.

We do not guarantee that the Service will meet your requirements, produce specific results, increase revenue, increase leads, improve LinkedIn performance, improve sales outcomes, prevent missed opportunities, prevent lost deals, or be error-free.

Your use of the Service is at your sole risk.

31. Limitation of Liability

To the fullest extent permitted by law, Commenter AI LTD and its directors, employees, contractors, affiliates, agents, suppliers, or licensors will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, loss of revenue, loss of data, loss of goodwill, business interruption, loss of business opportunity, loss of sales opportunities, or other intangible losses.

This applies whether the damages are based on warranty, contract, tort, negligence, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

To the fullest extent permitted by law, the total liability of Commenter AI LTD for any claim arising from or relating to the Service or these Terms is limited to the greater of:

1. fifty US dollars ($50); or
2. the amount you paid to Commenter AI LTD for the Service in the three (3) months before the event giving rise to the claim

Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, our liability will be limited to the maximum extent permitted by law.

32. Indemnification

You agree to defend, indemnify, and hold harmless Commenter AI LTD, its affiliates, directors, employees, contractors, agents, suppliers, and licensors from and against any claims, damages, liabilities, losses, costs, expenses, or fees, including reasonable legal fees, arising from:

1. your use or misuse of the Service
2. your violation of these Terms
3. your violation of applicable law
4. your violation of third-party rights
5. your violation of LinkedIn's terms or any other third-party platform terms
6. your Content
7. your Connected Account Data
8. your unauthorized connection, tracking, or processing of any account or data
9. your use of AI-generated output
10. your communications, comments, posts, replies, or messages created, generated, sent, published, or processed through the Service

33. Termination and Suspension

We may suspend, restrict, or terminate your Account or access to the Service at any time if we believe that:

1. you violated these Terms
2. you violated applicable law
3. you misused the Service
4. your activity creates legal, security, operational, or reputational risk
5. your payment fails
6. your use of the Service may harm us, other users, third-party platforms, or other parties
7. your use of the Service may violate LinkedIn's terms or other third-party platform rules

You may terminate your Account by contacting us at support@commenter.ai or by using available Account settings.

Upon termination, your right to use the Service will stop immediately.

Termination may result in deletion, restriction, or loss of Account data, Content, Connected Account Data, credits, settings, history, analytics, or other information associated with your Account, subject to our Privacy Policy and legal retention obligations.

34. Changes to These Terms

We may update or modify these Terms from time to time.

If we make material changes, we will make reasonable efforts to notify users, such as by posting the updated Terms on our website, sending an email, or showing an in-product notice.

Changes become effective when posted or on the effective date stated in the updated Terms.

Your continued use of the Service after changes become effective means you accept the updated Terms.

If you do not agree to the updated Terms, you must stop using the Service.

35. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms expressly agreed with you in writing, constitute the entire agreement between you and Commenter AI LTD regarding the Service.

These Terms replace any prior agreements, understandings, or communications regarding the Service.

36. Governing Law

These Terms are governed by the laws of Bulgaria, without regard to conflict of law principles.

37. Dispute Resolution

Before starting formal legal proceedings, the parties agree to first attempt to resolve disputes in good faith.

If a dispute cannot be resolved informally, the dispute may be brought before the competent courts or arbitration forum in Bulgaria, unless applicable law requires otherwise.

38. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect.

The invalid, unlawful, or unenforceable provision will be modified to the minimum extent necessary to make it valid, lawful, and enforceable, if permitted by law.

39. No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

40. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

We may assign or transfer our rights and obligations under these Terms in connection with a merger, acquisition, sale of assets, restructuring, operation of law, or otherwise.

41. Electronic Communications

You agree that communications between you and Commenter AI LTD may occur electronically.

Electronic communications may include emails, website notices, in-product notices, Account notifications, and other digital communications.
